Agent Service Agreement

This agreement covers how you work with NKEMSTORE as a delivery agent or field agent. You're not an employee of NKEMSTORE you're an independent agent using our platform to earn commission or delivery fees, and this document sets out what that actually means in practice.

1. Independent Contractor Status

Nothing in this agreement, or in the way NKEMSTORE assigns deliveries or tracks your commission, makes you an employee, partner, or agent of NKEMSTORE in the legal-employment sense. You set your own availability, use your own equipment (phone, and for delivery agents, your own vehicle), and are responsible for your own tax obligations on whatever you earn through the platform.

2. Getting Started

Your account is confirmed through a one-time code sent to your email before you can accept deliveries. You're responsible for keeping your contact details current an out-of-date phone number is the single most common reason a delivery goes wrong.

3. Earnings

Earnings move through three states: pending (delivery in progress), cleared (delivery confirmed complete, dispute window passed), and paid (funds released to you). Disputed deliveries may have earnings held until resolved. NKEMSTORE reserves the right to withhold payment on a delivery where fraud, non-delivery, or a customer complaint is being actively investigated.

4. Conduct While Delivering

You're representing NKEMSTORE to a customer at their doorstep. That means: deliver what was ordered, to the address given, to the person who ordered it (or someone they've authorised) not to whoever happens to answer. Don't open sealed packaging. Don't ask customers for money beyond what the app shows as due. Treat customers and vendors with the same basic courtesy you'd want shown to you.

5. Vehicle and Safety

If you use a vehicle to deliver, you're responsible for holding a valid licence and any insurance required by Nigerian law for that vehicle class. NKEMSTORE is not liable for accidents, fines, or vehicle damage incurred while you're delivering that risk sits with you as an independent contractor, same as it would with any ride-hailing or courier platform.

6. Recruiting Vendors

Your job is finding real businesses that want to sell on NKEMSTORE and submitting their details for approval. You may only submit a business with that business's knowledge and agreement to join submitting someone's details without their consent, or fabricating a vendor record to trigger a commission, is treated as fraud and will result in forfeiture of all pending and unlocked commission, plus removal from the platform.

7. Commission Structure

Commission on a recruited vendor moves from pending to unlocked once that vendor completes their first genuine sale not their first login, not their first product listed. Once unlocked, commission is queued for payment on NKEMSTORE's standard payout schedule. A vendor account that's later suspended for fraud, or that never goes on to trade genuinely, does not generate payable commission even if it briefly appeared "unlocked."

8. Ongoing Responsibility

You're not responsible for a vendor's day-to-day conduct after onboarding that's between NKEMSTORE and the vendor directly, governed by our Vendor Seller Agreement. Your role ends at successful, genuine onboarding.

9. Suspension and Termination

NKEMSTORE may suspend or terminate your agent account for fraud, repeated customer complaints, safety violations, or breach of this agreement. You may stop working with NKEMSTORE at any time by simply ceasing to accept deliveries or recruit vendors there's no penalty for walking away, though any commission genuinely earned before that point remains payable on schedule.

10. Governing Law

This agreement is governed by the laws of the Federal Republic of Nigeria.
