Vendor Seller Agreement

This agreement is between NKEMSTORE and the business that registers as a vendor on the platform (“you”). By registering a store or selling on NKEMSTORE, you agree to it, together with our Terms & Conditions, Acceptable Use Policy, Returns & Refund Policy, Shipping & Delivery Policy and Vendor Privacy Notice.

1. Your Status

You are an independent seller. You are the seller of the goods you list; NKEMSTORE is a marketplace that connects you with customers, processes the payment, and arranges delivery. You are responsible for the quality, legality and description of your goods.

2. Verification

Before approval we verify your business, which may include checking your business documents and a site visit. You must give true information and tell us promptly if it changes. You must settle through a Paystack subaccount linked to a bank account in your business’s name.

3. Listings and Orders

• Listings must be accurate and follow the Acceptable Use Policy. Do not list prohibited items.
• Keep stock and prices up to date. Honour orders you have accepted.
• Prepare orders promptly and pack them securely so they are ready for the delivery agent.

4. Delivery

Delivery is carried out by NKEMSTORE’s registered delivery agents. An order is treated as delivered once the customer’s delivery OTP has been confirmed by the delivery agent on the platform.

5. Payments, Commission and Settlement

• Customers pay through Paystack. Each payment is split automatically between your Paystack subaccount (the sale amount less our commission) and NKEMSTORE (commission and delivery fee).
• You are settled automatically by Paystack according to your subaccount settlement schedule. NKEMSTORE does not hold customer funds while waiting for a customer’s decision, and customers cannot block your settlement.
• Our commission rates and any subscription fees are those shown in your vendor dashboard or plan, as updated with notice.
• You are responsible for your own taxes on your sales.

6. Refunds and Our Right to Recover Them

• Customers may return items and receive refunds under the Returns & Refund Policy. Where a refund is approved for a reason that is yours (damaged, defective, spoiled, wrong item, not as described, or not delivered because of you), you are responsible for the refund.
• NKEMSTORE pays the customer first. You then owe NKEMSTORE the refunded amount, and the original commission on that sale is reversed in proportion where applicable.
• You authorise NKEMSTORE to recover the amount by deducting it from your future settlements or commission balances (including by adjusting the split on later orders), and, if that is not enough, by invoicing you. Invoices are payable within 7 days.
• If you disagree with a refund decision, you may send us your evidence within 48 hours of being notified. If we agree, we will reverse the recovery.
• This right continues after you stop selling, for refunds that relate to orders made while you were active.

7. Customer Data

Customer details given to you are for fulfilling the order only. You must follow the Vendor Privacy Notice and the Nigeria Data Protection Act 2023, and must not use that data for marketing or share it with others.

8. Suspension and Termination

We may suspend or terminate your store for fraud, repeated customer complaints, selling prohibited items, misuse of customer data, or breach of this agreement. You may close your store at any time, but you remain responsible for open orders, refunds and amounts owed to NKEMSTORE.

9. Responsibility and Indemnity

You are responsible for claims, losses and costs that result from your goods, your listings, or your breach of this agreement, and you agree to cover NKEMSTORE for them, to the extent allowed by law.

10. Changes

We may update this agreement. We will give notice of material changes by email or in your dashboard. Continuing to sell after the change means you accept it.

11. Governing Law

This agreement is governed by the laws of the Federal Republic of Nigeria.
